Atlantic BancGroup Inc is listed on NASDAQ (ATBC). Atlantic BancGroup, Inc. On October 23, 1998, Atlantic BancGroup, Inc. (Holding Company or Atlantic) was incorporated in the State of Florida. On April 3, 1999, the shareholders of Oceanside Bank (Oceanside or Bank) approved the Agreement and Plan of Reorganization (Reorganization) whereby Oceanside became a wholly-owned subsidiary of the Holding Company. The Reorganization was completed on May 5, 1999. The Holding Company is a registered bank holding company under the Bank Holding Company Act of 1956, as amended (the BHC Act), and now owns all of the voting shares of Oceanside. Our corporate headquarters is located at 1315 South Third Street, Jacksonville Beach, Florida. Atlantic presently has no significant operations other than Oceanside, our wholly-owned subsidiary. Oceanside is a state-chartered commercial bank and is Atlantics primary source of income. Atlantic does not have trust powers and, accordingly, no trust services are provided.
