As part of the second-step mutual to stock conversion transaction, the Company sold a total of 9,918,750 shares to eligible depositors of American Bank of New Jersey in a subscription offering at $10.00 per share, including 793,500 shares purchased by the Banks employee stock ownership plan with funds borrowed from the Company.
