BANK OF WILMINGTON CORPORATION

BANK OF WILMINGTON CORPORATION is listed on NASDAQ (BKWW). We are a North Carolina-chartered bank holding company incorporated on June 20, 2005 for the sole purpose of serving as the parent bank holding company for the Bank. The Bank is an insured, North Carolina-chartered bank that began banking operations on June 22, 1998. On September 1, 2005, we completed a corporate reorganization and share exchange in which the Bank became our wholly-owned bank subsidiary. Upon completion of the reorganization, each of the 3,416,068 outstanding shares of the Bank's $3.50 par value common stock was converted into and exchanged for one newly issued share of our $3.50 par value common stock. Our directors and executive officers serve as the directors and officers of the Bank, and, when the reorganization was completed, the Bank's shareholders became our shareholders owning the same percentages of our common stock as they previously owned of the Bank's stock.

BANK ONE CAPITAL VI is listed on NYSE (ONE-W). Effective July 1, 2004, Bank One Corporation (Bank One) merged with and into JPMorgan Chase & Co. (the Merger), pursuant to an Agreement and Plan of Merger dated January 14, 2004. As a result of the Merger, each outstanding share of common stock of Bank One was converted in a stock-for-stock exchange into 1.32 shares of common stock of JPMorgan Chase & Co. (JPMorgan Chase or the Firm). The Merger was accounted for using the purchase method of accounting. The purchase price to complete the Merger was $58.5 billion. Bank One's results of operations were included in the Firm's results beginning July 1, 2004. Therefore, the results of operations for the 12 months ended December 31, 2004, reflect six months of operations of the combined Firm and six months of heritage JPMorgan Chase; the results of operations for all other periods prior to 2004 reflect only the operations of heritage JPMorgan Chase.
