We are a financial holding company and a bank holding company registered under the Bank Holding Company Act of 1956, as amended. Our principal business is to serve as a holding company for our subsidiaries. As of December 31, 2005, those subsidiaries were Centennial Bank of the West, Guaranty Bank and Trust Company, or Guaranty Bank, Collegiate Peaks Bank, or Collegiate Peaks, and First MainStreet Financial, Ltd., or First MainStreet Insurance. On August 25, 2005, we entered into an agreement to sell Collegiate Peaks, which has been classified as held for sale since December 31, 2004. This sale is currently pending. On March 1, 2006, we sold substantially all of the assets of First MainStreet Insurance.
