Carters Inc. is listed on NYSE (CRI). On September 30, 2003, Carter Holdings, Inc., a Massachusetts corporation, re-incorporated in Delaware and changed its name by forming and subsequently merging with and into its new wholly-owned Delaware subsidiary. The surviving company is named Carters, Inc. Carters, Inc. derives all of its operating income and cash flow from TWCC, a Massachusetts corporation. Carters, Inc. has no assets or investments other than the shares of stock of TWCC. Carters is the largest branded marketer of apparel for babies and young children in the United States with a 6.8% market share of the $17.5 billion market in 2004, up from our market share of 5.1% in 2003. Over our 140 years of operation, Carters has become one of the most highly recognized and most trusted brand names in the childrens apparel industry. We focus on providing high-quality, essential products at prices that deliver an attractive value to consumers.

Carver Bancorp, Inc., a Delaware corporation (on a stand-alone basis, the Holding Company or Registrant), is the holding company for Carver Federal Savings Bank, a federally chartered savings bank, and its subsidiaries (collectively, the Bank or Carver Federal), Carver Statutory Trust I (the Trust) and Alhambra Holding Corporation, a Delaware corporation (Alhambra). The Trust, which was formed in September 2003, exists for the sole purpose of issuing trust preferred debt securities and investing the proceeds in an equivalent amount of subordinated debentures of the Holding Company. The Holding Company formed Alhambra to hold the Holding Companys investment in a commercial office building that was subsequently sold in March 2000. Alhambra is currently inactive. Collectively, the Holding Company, the Bank and the Holding Companys other direct and indirect subsidiaries are referred to herein as the Company or Carver.
