FELCOR LODGING TR INC is listed on NYSE (FCH-A). FelCor Lodging Trust Incorporated, or FelCor, is a Maryland corporation and the nation's second largest public lodging real estate investment trust, or REIT, based on total assets and number of hotels owned. We are the sole general partner of, and the owner of a greater than 95% partnership interest in, FelCor Lodging Limited Partnership, or FelCor LP, through which we held ownership interests in 149 hotels at December 31, 2004, with approximately 41,000 rooms and suites. When used in this Annual Report on Form 10-K, we and our refer to FelCor and its consolidated subsidiaries, unless otherwise indicated. At December 31, 2004, we owned a 100% interest in 112 hotels, a 90% or greater interest in entities owing seven hotels, a 60% interest in an entity owning two hotels, a 51% interest in an entity owning eight hotels and a 50% interest in entities owning 20 hotels.

Our investment strategy is to opportunistically acquire underperforming malls and transform them into physically attractive and profitable Class A malls (meaning those in which average annual shop tenant sales per square foot are above $350) or near Class A malls (meaning those in which average annual shop tenant sales per square foot range from $325 to $350) through comprehensive renovation and repositioning efforts aimed at increasing shopper traffic and tenant sales. Through these renovation and repositioning efforts, we expect to raise occupancy levels, rental income and property cash flow.
