First Regional Bancorp

First Regional Bancorp is listed on NASDAQ (FRGB). First Regional Bancorp maintains its principal executive offices at 1801 Century Park East, Los Angeles, California 90067. The Company was incorporated in California as Great American Bancorp on February 18, 1981 for the purpose of becoming a bank holding company and acquiring all of the outstanding common stock of First Regional Bank, formerly Great American Bank, a state-chartered bank headquartered in Los Angeles (Century City), California. The reorganization of the Bank was accomplished on March 8, 1982, under the terms of a Plan of Reorganization and Merger Agreement dated October 15, 1981, providing for the merger of a Company subsidiary with the Bank, with the Bank being the surviving entity in the merger. As a result of the Banks reorganization, the Banks outstanding shares were exchanged on a one-for-one basis for shares of the Companys Common Stock, and the Company became the sole shareholder of the Bank.

First Republic Bancorp Inc. is listed on NYSE (FRC). First Republic Bancorp Inc. is a financial services holding company operating in California and Nevada. First Republic conducts its business primarily through a Nevada- chartered, FDIC-insured, thrift company subsidiary, First Republic Savings Bank. The Company is engaged in originating real estate secured loans for retention in the portfolio of the Bank. In addition, the Company originates mortgage loans for sale to institutional investors in the secondary market. The Company also generates fee income by servicing mortgage loans for such institutional investors and other third parties. The Banks depository activities and advances from the Federal Home Loan Bank of San Francisco (the FHLB) are its principal source of funds with loan principal repayments, sales of loans and capital contributions and advances from First Republic as supplemental sources.
