Global Crossing Ltd., a company formed under the laws of Bermuda in 1997 (Old GCL), and a number of its subsidiaries (collectively, the GC Debtors) had commenced cases under chapter 11 of title 11 of the United States Code (the Bankruptcy Code) in the United States Bankruptcy Court for the Southern District of New York (the Bankruptcy Court). On December 9, 2003, the joint plan of reorganization of the GC Debtors (the Plan of Reorganization) became effective (the Effective Date) and pursuant to the Plan of Reorganization Old GCL transferred substantially all of its assets to New GCL. New GCL thereby became the parent company of the Global Crossing consolidated group of companies and succeeded to Old GCL's reporting obligations under the Securities Exchange Act of 1934, as amended (the Exchange Act).
