Northern Indiana Public Service Company is listed on NYSE (NI). NiSource Inc. (NiSource) is an energy holding company whose subsidiaries provide natural gas, electricity and other products and services to over 3.7 million customers located within a corridor that runs from the Gulf Coast through the Midwest to New England. NiSource is the successor to an Indiana corporation organized in 1987 under the name of NIPSCO Industries, Inc., which changed its name to NiSource Inc. on April 14, 1999. In connection with the acquisition of Columbia Energy Group (Columbia) on November 1, 2000, NiSource became a Delaware corporation registered under the Public Utility Holding Company Act of 1935, as amended. NiSource is the largest natural gas distribution company operating east of the Rocky Mountains, as measured by number of customers.

GENERAL DEVELOPMENT OF THE BUSINESS OVERVIEW The Issuer, Northern Orion Resources Inc., is engaged in the exploration for, and the development of, precious and base metals through direct and indirect foreign subsidiaries and branches. Its principal asset is its 12.5% interest in the Bajo de la Alumbrera gold-copper mine in the Catamarca Province, Argentina (the Alumbrera Mine). The Issuer also owns a 100% interest in the Agua Rica copper-gold-molybdenum project in the Catamarca Province, Argentina (the Agua Rica Project), and has an undivided 50% interest in the Mantua Project in Cuba. See Description of the Business. The Issuers principal geographical area of activity is Argentina. The economic and political environment of Argentina is less stable than that of Canada and the United States. Any changes in regulations or shift in political attitude in Argentina is beyond the control of the Issuer and may adversely affect its business.
