Micronetics Inc.

Micronetics Inc. is listed on NASDAQ (NOIZ). The Company was incorporated in New Jersey in 1975 and reincorporated in Delaware in 1987. In January 2003, Microwave Concepts, Inc., a Delaware corporation and a wholly-owned subsidiary of Micronetics (Micro-Con), acquired substantially all of the assets of Microwave Concepts, Inc., a New Jersey corporation (MCI). The acquisition was recorded under the purchase method of accounting for financial statement purposes. The purchase price has been allocated to the fair value of assets acquired and liabilities assumed based on their fair value at the date of acquisition. Micro-Cons year-end Balance Sheets are included in the Consolidated Balance Sheets of the Company at March 31, 2005 (Fiscal 2005) and March 31, 2004 (Fiscal 2004).
