ITEM 6 - DESCRIPTION OF CAPITAL STRUCTURE Our authorized share capital consists of an unlimited number of Common Shares and an unlimited number of preferred shares (Preferred Shares), all without nominal or par value. Excluding the exercise of the outstanding warrants and of the options issued under and outside of our Stock Option Plan, as at March 9, 2005, 34,412,136 Common Shares and no Preferred Shares were issued and outstanding. We have no current intention to issue Preferred Shares. Common Shares. Each Common Share entitles the holder thereof to one vote at any meeting of the shareholders of the Company, except meetings at which only holders of a specified class of shares are entitled to vote. Subject to the rights of holders of the Preferred Shares, the Common Shares are entitled to receive, as and when declared by our Board of Directors, dividends in such amounts as shall be determined by our Board of Directors.
