(Peoples) was organized in December 1999 at the direction of the Board of Directors of The People's Building, Loan and Savings Company, presently Peoples Community Bank, for the purpose of holding all of the capital stock of the Bank and in order to facilitate the conversion of the Bank from an Ohio-chartered mutual savings and loan association to a federally-chartered stock savings bank (the Conversion). (Unless the context otherwise requires, reference to Peoples includes the Bank). In fiscal year 2005, Peoples changed its charter to a federal bank holding company, in order to acquire an investment interest in a local bank holding company.
