Provident Financial Holdings Inc. is listed on NASDAQ (PROV). Provident Financial Holdings, Inc. , a Delaware corporation, was organized in January 1996 for the purpose of becoming the holding company for Provident Savings Bank, F.S.B. upon the Banks conversion from a federal mutual to a federal stock savings bank (Conversion). The Conversion was completed on June 27, 1996. At June 30, 2005, the Corporation had total assets of $1.6 billion, total deposits of $918.6 million and stockholders equity of $123.0 million. The Corporation has not engaged in any significant activity other than holding the stock of the Bank. Accordingly, the information set forth in this report, including financial statements and related data, relates primarily to the Bank and its subsidiaries. The Corporation, from time to time, may repurchase its common stock.

Provident Financial Services is listed on NYSE (PFS). The Company is a Delaware corporation which, on January 15, 2003, became the holding company for The Provident Bank, following the completion of the conversion of the Bank to a stock chartered savings bank. On January 15, 2003, the Company issued an aggregate of 59,618,300 shares of its common stock, par value $0.01 per share in a subscription offering and contributed $4.8 million in cash and 1,920,000 shares of its common stock to The Provident Bank Foundation, a charitable foundation established by the Bank. As a result of the conversion and related stock offering, the Company raised $567.2 million in net proceeds, of which $293.2 million was utilized to acquire all of the outstanding common stock of the Bank. The Company owns all of the outstanding common stock of the Bank, and as such, is a bank holding company subject to regulation by the Federal Reserve Board.
