River Valley Bancorp. is listed on NASDAQ (RIVR). River Valley Bancorp (the Holding Company and together with the Bank), an Indiana corporation, was formed in 1996 for the primary purpose of purchasing all of the issued and outstanding common stock of River Valley Financial Bank (formerly Madison First Federal Savings and Loan Association; hereinafter River Valley Financial or the Bank) in its conversion from mutual to stock form. The conversion offering was completed on December 20, 1996. On December 23, 1996, the Corporation utilized approximately $3.0 million of the net conversion proceeds to purchase 95.6% of the outstanding common shares of Citizens National Bank of Madison (Citizens), and River Valley Financial and Citizens merged on November 20, 1997. The activities of the Holding Company have been limited primarily to holding the stock of the Bank.

The Conversion and Reorganization was completed on September 30, 1997. Riverview Savings Bank, FSB changed its name to Riverview Community Bank effective June 29, 1998. On July 18, 2003, the Company completed the acquisition of Todays Bancorp, Inc. (Todays Bancorp). The acquisition of Todays Bancorps $122.3 million of assets and $105.1 million of deposits were accounted for using the purchase method of accounting. At March 31, 2005, the Company had total assets of $572.6 million, total deposits of $456.9 million and shareholders equity of $69.
