The Companys principal subsidiary is Sun National Bank. At December 31, 2004, the Company had total assets of $3.1 billion, total deposits of $2.4 billion and total shareholders equity of $279.2 million. Substantially all of the Companys deposits are federally insured by the Bank Insurance Fund (BIF), which is administered by the Federal Deposit Insurance Corporation (FDIC). The Companys remaining deposits are federally insured by the Savings Association Insurance Fund (SAIF), administered by the FDIC. The Companys principal business is to serve as a holding company for the Bank. As a registered bank holding company, the Company is subject to the supervision and regulation of the Board of Governors of the Federal Reserve System (the Federal Reserve).

We own, operate, develop and finance manufactured housing communities concentrated in the midwestern and southeastern United States. We are a fully integrated real estate company which, together with our affiliates and predecessors, have been in the business of acquiring, operating and expanding manufactured housing communities since 1975. As of December 31, 2004, we owned and operated a portfolio of 136 properties located in eighteen states (the Properties), including 124 manufactured housing communities, five recreational vehicle communities, and seven properties containing both manufactured housing and recreational vehicle sites. As of December 31, 2004, the Properties contained an aggregate of 46,856 developed sites comprised of 41,875 developed manufactured home sites and 4,981 recreational vehicle sites and an additional 7,277 manufactured home sites suitable for development.
